{"id":8084,"date":"2026-04-22T13:02:59","date_gmt":"2026-04-22T17:02:59","guid":{"rendered":"https:\/\/www2.law.temple.edu\/voices\/?p=8084"},"modified":"2026-04-23T12:07:44","modified_gmt":"2026-04-23T16:07:44","slug":"temple-laws-alternative-dispute-resolution-team-reaches-quarterfinals-at-the-abas-mac-cup-iii-competition","status":"publish","type":"post","link":"https:\/\/www2.law.temple.edu\/voices\/temple-laws-alternative-dispute-resolution-team-reaches-quarterfinals-at-the-abas-mac-cup-iii-competition\/","title":{"rendered":"Temple Law\u2019s Alternative Dispute Resolution Team Reaches Quarterfinals at the ABA MAC Cup III Competition"},"content":{"rendered":"<p><em style=\"font-size: 15px;\">Temple Law students Victoria Faria and Sarah Ismael, who are members of Temple Law\u2019s Alternative Dispute Resolution Society (\u201cADRS\u201d), went to the ABA Business Law Section\u2019s third annual National Invitational M&amp;A negotiating competition, known as the MAC Cup. <span class=\"normaltextrun\">By reaching the Quarterfinals<\/span> <span class=\"normaltextrun\">and competing in four negotiations, Victoria and Sarah<\/span> <span class=\"normaltextrun\">finished<\/span> <span class=\"normaltextrun\">among the top eight teams<\/span> <span class=\"normaltextrun\">(\u201cElite 8\u201d)<\/span> <span class=\"normaltextrun\">of the original 64 student teams<\/span> <span class=\"normaltextrun\">from<\/span> <span class=\"normaltextrun\">law schools<\/span> <span class=\"normaltextrun\">across the<\/span> <span class=\"normaltextrun\">United<\/span> <span class=\"normaltextrun\">States<\/span> <span class=\"normaltextrun\">and Canada.<\/span><\/em><\/p>\n<div>\n<p class=\"paragraph\"><span class=\"normaltextrun\">The MAC Cup requires<\/span> <span class=\"normaltextrun\">students<\/span> <span class=\"normaltextrun\">to<\/span> <span class=\"normaltextrun\">create an issue list based on the competition\u2019s fact pattern, mark-up an<\/span> <span class=\"normaltextrun\">asset<\/span><span class=\"normaltextrun\">purchase<\/span> <span class=\"normaltextrun\">agreement<\/span> <span class=\"normaltextrun\">(\u201cAPA\u201d) reflecting<\/span> <span class=\"normaltextrun\">the prevailing issues<\/span> <span class=\"normaltextrun\">identified<\/span> <span class=\"normaltextrun\">and<\/span> <span class=\"normaltextrun\">then<\/span> <span class=\"normaltextrun\">participate<\/span> <span class=\"normaltextrun\">in a mock negotiation with other competitors. The competition allows law school students to learn about M&amp;A deals and<\/span> <span class=\"normaltextrun\">develop<\/span> <span class=\"normaltextrun\">their<\/span> <span class=\"normaltextrun\">negotiation skills<\/span> <span class=\"normaltextrun\">by<\/span> <span class=\"normaltextrun\">encouraging students to use the<\/span> <span class=\"normaltextrun\">same<\/span> <span class=\"normaltextrun\">tools<\/span> <span class=\"normaltextrun\">M&amp;A attorneys<\/span> <span class=\"normaltextrun\">rely on, like: (1) the ABA\u2019s<\/span> <span class=\"normaltextrun\">M&amp;A<\/span> <span class=\"normaltextrun\">Private Target M&amp;A Deal<\/span> <span class=\"normaltextrun\">Points<\/span> <span class=\"normaltextrun\">Studies; (2) Westlaw\u2019s<\/span> <span class=\"normaltextrun\">CoCounsel<\/span> <span class=\"normaltextrun\">and Practical Law; and (3) Hotshot Legal\u2019s digital learning video service.\u202f<\/span><\/p>\n<p class=\"paragraph\"><span class=\"normaltextrun\">This year, the competition centered on superstar<\/span> <span class=\"normaltextrun\">couple<\/span> <span class=\"normaltextrun\">Tara Quick and Ted Kickstart (the \u201cSellers\u201d), who were selling their company,<\/span> <span class=\"normaltextrun\">QuickPass Tickets, Inc. (the \u201cTarget\u201d), to Mammoth, Inc. (the \u201cBuyer\u201d). Sellers and Buyer agreed that the purchase price was set at $300 million for the acquisition of<\/span> <span class=\"normaltextrun\">substantially all<\/span> <span class=\"normaltextrun\">of Target&#8217;s assets and the assumption of all of Target&#8217;s liabilities. However, the parties&#8217; lawyers still needed to negotiate several complex issues. The most complex of these items was how to allocate the potential liabilities from an existing litigation in which the Target was involved, currently in the discovery phase, which, in a worst-case scenario, could cost over 25% of the purchase price and potentially force the Target to change its business model. Overall, the<\/span> <span class=\"normaltextrun\">parties<\/span> <span class=\"normaltextrun\">were free to propose changes in the sections that dealt with post-closing covenants (to include a non-compete\/ non-solicitation), closing conditions, term definitions, termination, and indemnification (baskets\/ deductible\/ de minimis deductible\/ caps and survival [and what is not subject to those limitations], fraud, materiality scrapes, sandbagging, etc.).<\/span><\/p>\n<p class=\"paragraph\"><span class=\"normaltextrun\">In the First Open Round, Victoria and Sarah<\/span> <span class=\"normaltextrun\">represented<\/span> <span class=\"normaltextrun\">the Buyer<\/span><u> <\/u><span class=\"normaltextrun\">in the negotiation. With the help of their coach-attorney, adjunct professor Matthew<\/span> <span class=\"normaltextrun\">Devine, the<\/span> <span class=\"normaltextrun\">team spent most of their time familiarizing themselves with the<\/span><span class=\"normaltextrun\">competition\u2019s key<\/span> <span class=\"normaltextrun\">issues: indemnification, escrow arrangements,<\/span> <span class=\"normaltextrun\">and<\/span> <span class=\"normaltextrun\">non-compete\/non-solicitation agreements. After learning about the substantive aspects of the competitions, the Temple team then had to tackle the practical aspect of the competition: reviewing the<\/span> <span class=\"normaltextrun\">APA, selecting<\/span> <span class=\"normaltextrun\">and creating an issue list, drafting<\/span> <span class=\"normaltextrun\">changes APA to reflect their issues and creating a<\/span> <span class=\"normaltextrun\">redline<\/span> <span class=\"normaltextrun\">draft, reviewing due diligence documents, and reviewing the proposed<\/span> <span class=\"normaltextrun\">terms<\/span> <span class=\"normaltextrun\">sent by the Seller\u2019s side.<\/span><\/p>\n<p class=\"paragraph\"><span class=\"normaltextrun\">Then came the negotiation. In a 45-minute negotiation,<\/span> <span class=\"normaltextrun\">the<\/span> <span class=\"normaltextrun\">pair<\/span> <span class=\"normaltextrun\">was<\/span> <span class=\"normaltextrun\">tasked with picking which issues to advance in the negotiation to best advocate for their client while accounting for the<\/span> <span class=\"normaltextrun\">Seller\u2019s issues. After the<\/span> <span class=\"normaltextrun\">round,<\/span> <span class=\"normaltextrun\">both teams received feedback from two judges who are M&amp;A practitioners.<\/span> <span class=\"normaltextrun\">Only half of the original sixty-four teams advanced after the first day of competition,<\/span> <span class=\"normaltextrun\">and the Temple team was<\/span> <span class=\"normaltextrun\">among those<\/span> <span class=\"normaltextrun\">advancing teams.<\/span><\/p>\n<p class=\"paragraph\"><span class=\"normaltextrun\">After their second negotiation,<\/span> <span class=\"normaltextrun\">where Victoria and<\/span> <span class=\"normaltextrun\">Sarah<\/span> <span class=\"normaltextrun\">repeated<\/span> <span class=\"normaltextrun\">the entire<\/span> <span class=\"normaltextrun\">initial<\/span> <span class=\"normaltextrun\">process but now<\/span> <span class=\"normaltextrun\">representing<\/span><span class=\"normaltextrun\">the Sellers,<\/span> <span class=\"normaltextrun\">they were delighted to hear that they had advanced to<\/span> <span class=\"normaltextrun\">the Quarterfinals. But the Quarterfinals brought significant new fact pattern changes: there was a new bidder for the Target, Eras Capital, a private equity fund that would finance the purchase of the Target by creating a newly formed shell entity (\u201cBuyer #2\u201d) that would largely use debt financing to<\/span> <span class=\"normaltextrun\">complete<\/span> <span class=\"normaltextrun\">the deal. Eras Capital would also provide a limited guarantee and an equity commitment letter for deal certainty. The big-ticket issue for this negotiation was a reverse termination fee, which would provide the Sellers with damages equal to 10% of the purchase price of $350 million under trigger events to be negotiated by the parties.<\/span><\/p>\n<\/div>\n<div>\n<div>\n<div>\n<div>\n<p>&nbsp;<\/p>\n<div>\n<div id=\"attachment_8086\" style=\"width: 258px\" class=\"wp-caption alignleft\"><a href=\"https:\/\/www2.law.temple.edu\/voices\/cms\/wp-content\/uploads\/2026\/04\/Temple-LS-Victoria-and-Sarah-2.png\"><img loading=\"lazy\" decoding=\"async\" aria-describedby=\"caption-attachment-8086\" class=\"wp-image-8086 \" src=\"https:\/\/www2.law.temple.edu\/voices\/cms\/wp-content\/uploads\/2026\/04\/Temple-LS-Victoria-and-Sarah-2-225x300.png\" alt=\"Temple Law students Victoria and Sarah Ismael preparing for Quarterfinals with their competition day materials.\" width=\"248\" height=\"330\" srcset=\"https:\/\/www2.law.temple.edu\/voices\/cms\/wp-content\/uploads\/2026\/04\/Temple-LS-Victoria-and-Sarah-2-225x300.png 225w, https:\/\/www2.law.temple.edu\/voices\/cms\/wp-content\/uploads\/2026\/04\/Temple-LS-Victoria-and-Sarah-2.png 326w\" sizes=\"auto, (max-width: 248px) 100vw, 248px\" \/><\/a><p id=\"caption-attachment-8086\" class=\"wp-caption-text\">Temple Law students Victoria and Sarah Ismael preparing for Quarterfinals with their competition day materials.<\/p><\/div>\n<p class=\"paragraph\"><span class=\"normaltextrun\">In preparing for<\/span> <span class=\"normaltextrun\">the<\/span> <span class=\"normaltextrun\">two<\/span> <span class=\"normaltextrun\">Quarterfinals<\/span> <span class=\"normaltextrun\">rounds, Victoria and Sarah negotiated<\/span> <span class=\"normaltextrun\">twice:<\/span> <span class=\"normaltextrun\">once<\/span> <span class=\"normaltextrun\">as<\/span> <span class=\"normaltextrun\">counsels for the<\/span> <span class=\"normaltextrun\">Sellers and<\/span> <span class=\"normaltextrun\">once<\/span> <span class=\"normaltextrun\">for<\/span> <span class=\"normaltextrun\">Buyer #2. The women restarted their<\/span> <span class=\"normaltextrun\">earlier<\/span> <span class=\"normaltextrun\">competition<\/span> <span class=\"normaltextrun\">process<\/span> <span class=\"normaltextrun\">and<\/span> <span class=\"normaltextrun\">familiarized<\/span> <span class=\"normaltextrun\">themselves with M&amp;A deals<\/span> <span class=\"normaltextrun\">involving<\/span> <span class=\"normaltextrun\">private equity firms and debt financing. <\/span><span class=\"apple-converted-space\">\u00a0<\/span><span class=\"normaltextrun\">The<\/span> <span class=\"normaltextrun\">Temple team<\/span> <span class=\"normaltextrun\">then<\/span> <span class=\"normaltextrun\">used<\/span> <span class=\"normaltextrun\">their negotiation skills to advance their client\u2019s interests in two final rounds<\/span> <span class=\"normaltextrun\">against<\/span> <span class=\"normaltextrun\">two<\/span> <span class=\"normaltextrun\">other skillful competitor teams.<\/span><\/p>\n<p class=\"paragraph\"><span class=\"normaltextrun\">Reaching the Quarterfinals at the MAC Cup III was a tremendous \u00a0victory for <\/span><span class=\"apple-converted-space\">members of <\/span><span class=\"normaltextrun\">Temple\u2019s<\/span> <span class=\"normaltextrun\">newly<\/span> <span class=\"normaltextrun\">founded ADRS. Victoria and Sarah learned a great deal, not only substantively but also logistically, about how to negotiate effectively in ABA Law School competitions. With this newfound knowledge,<\/span> <span class=\"normaltextrun\">the pair<\/span> <span class=\"normaltextrun\">hope to help coach a new team from Temple Law next year <\/span><span class=\"normaltextrun\">at MAC Cup IV<\/span> <span class=\"normaltextrun\">and other ADR competitions.<\/span> <span class=\"normaltextrun\">They<\/span> <span class=\"normaltextrun\">were<\/span> <span class=\"normaltextrun\">also<\/span> <span class=\"normaltextrun\">able to hone their drafting and negotiation skills and gain tremendous knowledge about the deal process in the transactional space.<\/span> <span class=\"normaltextrun\">Just as importantly, the two grew as a team, learning from each other\u2019s strengths and approaches and building a partnership grounded in preparation, trust, and shared pride in<\/span> <span class=\"normaltextrun\">representing<\/span> <span class=\"normaltextrun\">Temple Law.<\/span><\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n","protected":false},"excerpt":{"rendered":"<p>Temple Law students Victoria Faria and Sarah Ismael, who are members of Temple Law\u2019s Alternative Dispute Resolution Society (\u201cADRS\u201d), went to the ABA Business Law Section\u2019s third annual National Invitational M&amp;A negotiating competition, known as the MAC Cup.
